1. Terms of Use

Please read the following terms and conditions (“Terms”). They govern your use of this website and its associated services, including email newsletters, associated content distribution platforms, and public Vickers online social media accounts (collectively, the “Site”). By using the Site, you agree to be bound by these Terms.

1.1 Who we are 

The Site is maintained and operated by Vickers Venture Partners (S) Pte. Ltd. (together with its affiliates, collectively referred to as “Vickers”), which provides administrative and other services to various Vickers entities. In accordance with industry custom, the Site occasionally uses terminology that may be interpreted to suggest that our firm is actually a single entity. However, there is no such single entity and all of the entities that comprise our firm have their own separate legal existence.

1.2 No representation or warranties

While every effort has been made to ensure that the information provided in the Site is up to date and accurate, Vickers and its subsidiaries, employees, agents, partners, principals and representatives make no representation or warranty of any kind either express or implied as to the completeness, correctness, accuracy, suitability, reliability or otherwise of the Site or its contents or the results of its use for any purpose, all of which is provided “as is” and “as available”. They do not warrant that the Site or this server that makes it available is free of any virus or other harmful elements. 

Vickers and its subsidiaries, employees, agents, partners, principals and representatives disclaim all warranties and obligations relating to the Site, including but not limited to all implied warranties and obligations of merchantability, fitness for a particular purpose, title and non-infringement. 

1.3 No offer 

Under no circumstances should any information provided in the Site be considered as (i) an offer, or solicitation of an offer, to purchase or sell any security, other asset or service, (ii) investment advice or an offer to provide such advice, or (iii) a basis for making any investment decision. Neither the Site nor any of its contents make any effort to present a comprehensive or balanced description of Vickers or its investment activities. 

An offer to invest in a Vickers-managed pooled investment vehicle will be made separately and only by means of the confidential offering documents of the specific pooled investment vehicles — which should be read in their entirety, and only to those who, among other requirements, meet certain qualifications under the securities laws of the relevant jurisdiction. 

Any prospective investor should consult with any rely on his, her or its own personal legal counsel, accountant or other advisors as to the legal, tax, and economic implications of any investment opportunity and its suitability for such investor and Vickers accepts no responsibility for any loss which may arise from reliance on the information on the Site, or any site which is linked from the Site.

1.4 Forward looking statements

Any investments or portfolio companies described or referred to in the Site are not representative of all investments in vehicles managed by Vickers and there can be no assurance that the investments described are, or will be, profitable or that other investments made in the future will have similar character or results.

Any charts provided on the Site are for informational purposes only, and should not be relied upon when making any investment decision. 1.5 Institutional / Accredited clients only

The Site provides information relating to investments, financial products and services that are available to Accredited Investors or Institutional Investors under the Securities and Futures Act of Singapore, and similar class or category of investors as described under the relevant securities laws of any jurisdiction which Vickers operates in (collectively, “Relevant Investors”).

By continuing to use the Site, you acknowledge that the information contained within it is intended for use by Relevant Investors only, and you are representing that you are a Relevant Investor. You consent to Vickers requesting further information and/or document/s from you to verify that you qualify as or are a Relevant Investor.

Further, you represent that you will not directly or indirectly disseminate information contained on the Site to any other investor that does not meet the above definition of Relevant Investor.

1.6 Intellectual Property 

The trademarks, service marks and logos (“Trade Marks”) used in the Site are our registered or unregistered Trade Marks. You may not copy, reproduce, adapt, display or transmit any Trade Mark in any form without our prior written consent.

In particular, you must not misappropriate the design or content of the Site and you must not alter or deface such design or content in any way. Nothing on the Site grants any license with respect to such design or content, except that you may download and use the information on the Site solely for your own personal information. 

You acknowledge that copyright is reserved to us and all rights are reserved. We either own the intellectual property rights in the underlying HTML, text, images, audio clips, video, clips and other content material that appears on the Site, or have obtained the permission of the owner of the intellectual property to use the content on the Site. 

1.7 Third party sites

The Site may contain link to websites operated by third parties. The existence of any such link does not constitute an endorsement of such websites, the content of the websites, or the operators of the websites. We accept no responsibility for third-party sites available through the Site, via hyperlink or otherwise. You are encouraged to review the terms of use applicable to those sites. Any access to, or use of, a third-party site is solely at your own risk. You shall release and hold Vickers harmless from any and all liability arising from your use of any third-party website or service. 

1.8 Limitation of liability 

The information contained in the Site shall be accessed and used at the your own risk and to the fullest extent permissible and subject and pursuant to all applicable laws and regulations. To the maximum extent allowed under applicable laws, Vickers and its subsidiaries, employees, agents, partners, principals and representatives shall not be liable for any direct, indirect, incidental, special, exemplary, consequential or other damages whatsoever (including but not limited to liability for loss of use, data or profits), including but not limited to contract, negligence or other tortious actions, arising out of or in connection with the Site, even if any of Vickers and its subsidiaries, employees, agents, partners, principals and representatives has been advised of the possibility of such damages or losses that were, are being or will be incurred. 

Some jurisdictions limit our ability to disclaim liability. With regard to those jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

1.9 Indemnity 

To the fullest extent allowed by applicable law, you agree to indemnify and hold Vickers and its subsidiaries, employees, agents, partners, principals and representatives harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third-party claims relating to (a) your use of the Site (including any actions taken by a third-party using your account), and (b) your violation of these Terms.

1.10 Modifications 

Vickers reserves all rights to make any and all changes in the Site at its sole discretion without prior notice to you. Vickers reserves the right to deny access to the Site to anyone at any time without prior notice. Materials on the Site may include technical inaccuracies or typographical errors. Changes may be periodically incorporated into such materials. Vickers may make improvements and/or changes in the products, services and/or programmes described in such materials at any time without notice.

1.11 Suggestions, comments and feedback

Should you respond to any part of the materials contained in the Site with any communications including feedback data, such as questions, comments, suggestions, or the like, such information shall be deemed to be non-confidential and Vickers and its subsidiaries, employees, agents, partners, principals and representatives shall have no obligation whatsoever with respect to such communications and shall be free to reproduce, use disclose and distribute the information to others without limitation, and shall be free to use in any way for any purpose whatsoever the content of such communications including any ideas, know-how, techniques or concepts disclosed therein.

1.12 Business plans and other materials

Vickers reviews a large number of business plan ideas and related materials, and many of which may share similarity. As such, Vickers cannot accept responsibility for protecting against misuse or disclosure of any confidential or proprietary information or other materials in the absence of our express written agreement to do so. Any plans, information and other materials you submit in connection with the Site may be used or disclosed by us for any purpose and in any manner, as we determine in our sole discretion. Please consider this carefully before sending us any information or other materials that you deem confidential or proprietary.

1.13 Applicable law and jurisdiction

The law applicable to the terms of use of the Site is the law of the Republic of Singapore, without giving effect to any conflicts of laws principles that require the application of the law of a different jurisdiction. The courts of the Republic of Singapore will have exclusive jurisdiction in case of any dispute. 

1.14 Invalid / unenforceable terms 

If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. 

2. Privacy Policy

2.1 Cookies

The Site uses cookies to distinguish you from other users of our website by storing, generally non-personally identifiable, information (e.g. session information such as the number of times you visit our website and the location from which you are accessing the website). 

We reserve the right to track visitors to, and usage of, the Site through “cookies” and similar techniques and to use any resulting information as we determine in our sole discretion.

Therefore, during your use of the Site, Vickers may issue to and request from your computer “cookies” to enable more convenient browsing when you revisit the Site. You must not alter any cookies sent to your computer from the Site and must ensure that the your computer sends correct and accurate cookies in response to any relevant request from the Site.

Please note that if you change your settings to opt out of receiving cookies, it will not retroactively delete or remove any previously collected information, but it will prevent your information from being shared through such cookies from that point on. 

We use cookies: (i) to track your activities on the Site; and (ii) the purposes described in this Privacy Statement, but they will not generally allow us to obtain information of a personal nature such as your name and address. We will only be aware of such information if you provide the information to us or you have set the preferences in your browser to provide this information automatically.

2.2 Privacy

This Privacy Statement (together with our Terms and any other documents referred to in it) sets out (i) the basis on which we will process any personal data we collect from you, or that you provide to us, through or in connection with the Site; and (ii) information on our use of cookies. Please read the following carefully to understand our views and practices regarding cookies, your personal data, and how we will treat such information. By visiting the Site, you are acknowledging our practices described in this Privacy Statement. Where necessary under applicable data privacy law, visiting the Site constitutes your consent to our processing your personal data as described in this Privacy Statement.

When we refer in this Privacy Notice to “Vickers”. “we”, “us” or “our”, we are referring to Vickers Venture Partners (S) Pte. Ltd., which owns and operates the Site and collects your personal data through it, and its various affiliated companies worldwide.

(a) Collection and processing of personal data

You can use and browse the Site without having to disclose your personal data, except as may be necessary to allow us to respond to your requests or in cases where you contact us directly.

We collect personal data (which may include sensitive personal data) when you provide it to us, through registration, completion of forms, emails, enquiries and requests, and similar situations in which you have chosen to provide the information to us.

The information you give us may include your name, address and email. If you choose not to provide such information, it may not be possible for us to respond to your request or enquiry.

We will retain control of, and responsibility for, the use of any personal data you disclose to us. Such data shall remain in our possession, or that of data intermediaries and other service providers acting on our behalf, except in the rare circumstances where we are required by law to disclose it to other persons.

(b) Purposes of use

All personal data and other information collected may be used by Vickers individually or collectively and may be combined with other information for the following purposes:

  • Responding to your enquiries or requests pursuant to your emails, telephone calls, faxes and/or submission of form(s);
  • Responding to your job/internship application or your recruitment queries;
  • Responding to and taking follow-up action on complaints;
  • Performing office and operational administrative matters following your request;
  • Seeking feedback and comments on Vickers’ business and operational matters; and/or
  • Complying with our legal obligations.

Generally, we only use personal data collected through the Site as necessary so that we can pursue these legitimate purposes. We may occasionally seek your consent to use your personal data for these or other specific purposes.

(c) IP addresses

When you use the Site, we may collect and store information about your computer (including your IP address, operating system and browser type) for system administration. This is statistical data about our users’ browsing actions and patterns. This data could possibly lead to your identification, but we, and our data intermediaries, do not use it to do so unless permitted by law.

(d) Disclosure of your personal data

To respond to or process your requests to Vickers, we may have to disclose your personal data to any member of our group or to third parties such as our service providers and professional advisors, who will process your personal data in accordance with this Privacy Statement. Your personal data will not be disclosed to any further parties, unless we have obtained your consent or are legally required to do so.

(e) Where we store your personal data

The data that we collect from you may be transferred to, and stored at, a destination outside Singapore. It may also be processed by staff operating outside Singapore who work for us. For the purposes of European data protection laws (where they apply), you should be aware that Singapore and the other countries in which your personal data are located may not have data protection laws which have been acknowledged to ensure adequate protection for personal data for the purposes of those laws.

Vickers will take appropriate steps to ensure that your data is treated securely and in accordance with this Privacy Statement, to the standards required by applicable law.

(f) Security

We use technical and organisational security precautions to protect your data from unauthorised access, collection, use, disclosure, copying, modification, disposal or similar risk. Our security procedures are continuously revised based on new technological developments.

(g) Data retention

We retain your personal data for as long as necessary for the fulfilment of the purposes for which it was collected or to which you have given your consent, except where otherwise provided for by law.

(h) Right to withdraw consent, request access to, and correction of personal data

You have the right to withdraw any consent that you may have given, request access to, and correction of personal data that Vickers holds about you in accordance with applicable laws, be sending an email to admin@vickersventure.com. Where our processing is subject to European data protection laws, you may also have additional rights, subject to exceptions, to object to our processing of your personal data, to request that it is deleted or to require us to restrict our processing so that the data is retained but not actively used. Where we are processing your personal data on the basis of your consent, you may also have a right to require a copy of any personal data that you have provided to us to be “ported” to you, or to another service provider, in a structured, commonly used and machine-readable format.
